CONSTITUTION AND BY-LAWS |
Section 1.
The name of this organization shall be the Old Frill Club.
Section 1.
To foster and create greater interest in the breeding and improvement of
Old Frills.
Section 2.
To sponsor annually such shows as may be deemed necessary.

Section 2.
Annual Junior membership fee for any individual 17 and under shall be $3.00.
Section 3.
All dues become due and payable January of each year. Unpaid dues are delinquent on February 1.
Section 4.
Lifetime Membership shall be $100.00 (Effective January 1 2009).
Section 5.
All applications for membership must be to the club treasurer.
Section 1.
Members active and in good standing shall be entitles to one vote per office held, at annual
elections and all regular and special
meetings of the club.
Members shall be entitled to equal benefits and privileges that the club has
to offer.
ARTICLE
V- REGULAR AND BOARD MEETINGS
Section 1.
Regular
and board meetings to be held as often as necessary.

Elected officers shall be President, Vice President, and
Secretary-Treasurer.

Nominations and election of officers shall take place every other year and
officers shall serve
from election to election.
Section 2.
The members will make nominations for various offices in January and the nominee must be
contacted to accept his or her
nomination.
The nominee must be an active member and in good standing of the club one year before he or she can
accept office.
Section 3.
Nominations will consist of one to three names for any office. One office holder per family at
any one time.
ARTICLE
VIII – OFFICERS’ DUTIES
Section 1.
The President shall be the chief executive officer. He or she shall be
chairman of the regular club meetings and board of directors’ meetings.
He/she shall designate time and place of all meetings, shall appoint persons to
fill vacancies occurring between regular elections. He/she shall exercise
general supervision and leadership that will enhance the aims and purposes of
the club.
Section 2.
The Vice President is to
assist the President when needed. In
the event of absence of the President from any meeting, or in case of his or her
inability to act, the Vice President shall act for
the President.
Section 3.
The Secretary is to have charge of past records and materials pertaining
to the office. He/she shall keep an
accurate record of all meetings and read minutes of previous meetings, shall
keep record of members and publish and distribute a membership list annually.
He/she shall handle all club correspondence.
The Treasurer shall receive and be custodian of all money, from
whatever source.
All
payments or expenditures shall be made only by check
drawn on club funds, signed by the Treasurer.
The Treasurer shall keep such books as are necessary to record the funds
received and from what source, and all expenditures.
These books shall be open for inspection at
all meetings. All properties will
be turned over to the new officer at the January meeting.
ARTICLE IX – PUBLICITY DIRECTOR
Section 1.
The Publicity Director shall be responsible for all advertising of the club by means of radio, newspaper,
and/or other publications. The Publicity Director shall arrange for photos of various shows and appropriate
pigeon events.
ARTICLE
X – BOARD OF DIRECTORS
Section 1.
The Board of
Directors may suspend or expel (by a majority vote) a member for any
discreditable act, dishonesty, or other undesirable conduct that is considered
harmful to the club. They shall
conduct such other business as the President may direct.
Section 1.
No officer or member of this club shall incur any expense, disburse any
funds or render this club liable for any obligation that has not first been
authorized by the Board of Directors or other officers, under penalty of
personally assuming such obligation.

The Constitution
and By-Laws of the Old Frill Club may be changed or amended as follows:
Any proposal, change or amendment must be submitted to each member of the Board of Directors for
consideration at least thirty days prior to any Board meeting.
If
said amendment is approved by a majority vote of the Board, it
shall be presented to the club members and if approved by a 2/3 vote of the
membership, shall become a duly constituted amendment and the secretary
shall notify all members.
